Terms of Service

These Terms of Service ("Terms") are an agreement between you and Ministry Plus Solutions Inc. ("Ministry Plus", "we", "us") covering your use of the HapGraph application for macOS ("the app") and the website at hapgraph.com ("the site"). By downloading, purchasing, or using HapGraph, you agree to these Terms. If you do not agree, do not use HapGraph.

The app and your license

HapGraph is free to download and runs in a limited mode until unlocked with a license key. Purchasing a license grants you a non-exclusive, non-transferable right to use the app, subject to these Terms and to the tier you purchased:

  • Church / non-profit license — for use by churches and registered non-profit organizations. [VERIFY seat/scope: per-user, per-organization, or per-device.]
  • Commercial license — for all other use. [VERIFY seat/scope.]

Acceptable use

You may not:

  • share, resell, or publish your license key;
  • reverse engineer, decompile, or circumvent the license mechanism, except to the extent the law expressly permits;
  • use HapGraph in a way that breaks applicable law or infringes someone else's rights.

Your content — the passages, drawings, and slides you create — remains yours. We claim no ownership of it.

Purchases, pricing, and taxes

Licenses are sold through Stripe-hosted payment pages linked from the site. Current prices are [$499 CAD/USD — VERIFY currency] for the church/non-profit tier and [$799 CAD/USD — VERIFY currency] for the commercial tier. Prices may change, but a change does not affect a license you have already purchased. You are responsible for any taxes that apply to your purchase. License keys are generated and delivered by our provider, LicenseSpring, to the email address you provide at checkout.

Refunds

Downloads and updates

The app is distributed as a download from our hosting provider. We may release updates, and we may change or discontinue features [VERIFY update/support commitment]. We are not obligated to provide updates for any particular period unless stated otherwise.

Intellectual property

HapGraph, its name, and its design are the property of Ministry Plus Solutions Inc. These Terms grant you a license to use the app; they do not transfer any ownership in it.

Disclaimers

HapGraph is provided "as is" and "as available", without warranties of any kind, whether express or implied, to the fullest extent permitted by law. We do not warrant that the app will be uninterrupted or error-free. [VERIFY: some consumer-protection warranties cannot be excluded under BC law — counsel should confirm the wording here.]

Limitation of liability

To the fullest extent permitted by law, Ministry Plus Solutions Inc. will not be liable for any indirect, incidental, or consequential damages arising from your use of HapGraph. Our total liability for any claim relating to HapGraph will not exceed the amount you paid for your license in the [12 months] before the claim. [VERIFY cap and carve-outs with counsel.]

Governing law

These Terms are governed by the laws of the Province of British Columbia and the laws of Canada that apply there, without regard to conflict-of-laws rules. You agree that the courts located in British Columbia have jurisdiction over any dispute arising from these Terms. [VERIFY venue clause.]

Changes to these Terms

We may update these Terms as the product changes. When we do, we will revise the "Last updated" date above. Continuing to use HapGraph after a change means you accept the updated Terms.
